These terms apply to any website design, digital marketing, graphic design or photography project undertaken by J Royles Designs (Jen Royles), a UK sole trader based in Witney, Oxfordshire (“I”, “me”), for a client (“you”).
1. Quotes and acceptance
Any quote I provide is valid for 30 days. A project begins once you've confirmed you'd like to go ahead in writing (email is fine) and, where applicable, paid any agreed deposit.
2. Payment
For larger projects I typically ask for a 50% deposit before work begins, with the balance due on completion before final files/site access are handed over. For ongoing/retainer work (such as monthly reporting or website maintenance), invoices are issued monthly and are due within 14 days. Late payment may incur a reasonable admin fee.
3. Revisions
Each project includes a set number of revision rounds (agreed in the quote). Additional rounds or changes outside the original brief will be quoted separately.
4. Ownership and intellectual property
Once a project is paid in full, you own the final deliverables (site files, source code, designs, images created for you) outright. Third-party assets I license on your behalf (stock photography, fonts, plugins) remain subject to their own licence terms. I retain the right to display completed work in my own portfolio unless you ask me not to.
5. Client responsibilities
You're responsible for providing content, feedback and approvals in a timely way, and for the accuracy of any material you supply (text, images, logos, testimonials). Delays on your side may push back delivery dates.
6. Hosting, domains and third-party tools
Unless otherwise agreed, hosting, domain registration and any paid third-party tools (analytics, email platforms, etc.) are your responsibility and cost. I'm happy to advise or manage these on your behalf as part of a separate agreement.
7. Cancellation
Either of us can end a project with written notice. If you cancel after work has started, you'll be invoiced for work completed up to that point; any deposit already paid covering that work is non-refundable.
8. Liability
I'll do my best work, but I can't guarantee specific business outcomes (e.g. traffic, rankings, sales) as these depend on many factors outside my control. I'm not liable for indirect or consequential losses, and my total liability for any project is limited to the fees paid for that project.
9. Confidentiality
Any business or client information you share with me is kept confidential and only used to deliver the agreed work.
10. Governing law
These terms are governed by the laws of England and Wales.
